These Terms of Service ("Terms") govern your access to and use of the Ubunye Online SaaS platform operated by Ubunye Online T/A Fleet Flex (Pty) Ltd ("Ubunye", "we", "our"). By creating an account, applying for accreditation, or paying a subscription you accept these Terms.
1. The Service
Ubunye Online is a multi-tenant SaaS workspace for SADC transport operators. Features include fleet, driver and compliance management, cross-border declaration tooling, customer CRM, quotations and invoicing, loads planning, and optional paid add-on modules. Available modules and pricing are published on the pricing page.
2. Account & accreditation
- You must complete the accreditation wizard and supply accurate company, director and document information.
- You are responsible for all activity under your account and any sub-user (carrier_admin, dispatcher, driver) you invite.
- Ubunye may verify documents, request additional KYC, or decline accreditation at its discretion.
3. Subscriptions & billing
- Workspace bundles (Carrier Core R9 999, Broker R7 999, Shipper R6 999, Hybrid R11 999 per month) and individual paid modules are billed monthly in ZAR via Paystack, or by manual EFT where pre-arranged.
- Subscriptions auto-renew until cancelled from the in-app billing screen.

- VAT is added where applicable. Prices may change on 30 days' notice.
4. Acceptable use
Your use of the platform is subject to our Acceptable Use Policy. Violations may result in suspension or termination.
5. Data ownership
You retain ownership of all data you upload (fleet, driver, customer, financial). You grant Ubunye a limited licence to host, process and back up that data solely to operate the service. We process personal information under our Privacy Policy.
6. Third-party integrations
Optional integrations (Afriwallet declarations, Paystack, Google Maps, AI providers) are governed by the third party's own terms. Ubunye is not responsible for outages, fees or decisions made by third parties.
7. Suspension & termination
We may suspend or terminate your account for non-payment, AUP violation, fraudulent activity, regulatory request, or where required by law. You may cancel at any time from the billing screen; access continues until the end of the paid period.
8. Liability
The service is provided "as is". To the maximum extent permitted by law, Ubunye's aggregate liability is limited to the subscription fees you paid in the 3 months preceding the claim. We are not liable for indirect, consequential, lost profits, or third-party clearing-agent errors.
9. Governing law
These Terms are governed by the laws of the Republic of South Africa. Disputes are subject to the exclusive jurisdiction of the Western Cape High Court, subject first to the process in our Dispute Resolution policy.
